| | Zarząd Global Energy S.A. działając zgodnie z art. 70 ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych informuje o otrzymaniu w dniu dzisiejszym od funduszu "Maverick Capital Ltd." dalej zwanym "Funduszem" zawiadomienia w trybie Art. 69 ust.1, 4 i 4B - Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, dotyczącego zmiany dotychczas posiadanego udziału Funduszu w kapitale i w głosach na Walnym Zgromadzeniu Akcjonariuszy spółki Global Energy S.A.
Przekazane zawiadomienie Fundusz posiada następującą treść:
Notification on purchase of significant amount of shares in Public Company
- article 69 of the Act on Public offering
Maverick Capital Ltd. (referred to as “The Fund"), pursuant to article 69 point 1 and point 4/4B of the Act of 29th July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and Public Companies, herby notifies that due to acquisition on 24th of February 2014 on the polish regulated market - Warsaw Stock Exchange 11.012 shares, representing 0.033% in the share capital of a public company Global Energy S.A. seated in Warsaw(referred to as “The Company"), the shareholding in the total votes at the General Meeting of Shareholders of the Company has raised.
Before the above mentioned acquisition The Fund held 1.668.988 shares in the Company, entitling to 4,98% votes at the General Meeting of Shareholders of the Company.
After the above mentioned acquisition, The Fund holds 1.680.000 shares, representing 5.01% in the share capital of the Company and same percentage of votes at the General Meeting of Shareholders.
Maverick Capital Ltd. also declares that further increase of capital engagement in the Company is possible and may be increased within 12 months of issuance of this notification.
Furthermore Maverick Capital Ltd. confirms there are no persons referred to in art. 87 point 1.3.c of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and Public Companies – or subsidiaries holding shares of the Company nor third persons with whom The Fund concluded agreements on transferring voting rights.
