| | Sadovaya Group S.A., a joint stock company under Luxembourg law, with registered office at L-1331 Luxembourg, 65, boulevard Grande-Duchesse Charlotte, registered in the Luxembourg Register of Companies under No. B 153.489, (the "Company"), hereby informs that the following resolutions were approved at the Company’s ordinary general meeting held extraordinarily on 03 March 2014:
1. Change of the number of Direсtors A and Directors B of SADOVAYA GROUP S.A.
2. Resignation of the following persons as Director A and Directors B and discharge:
– Mr. Sergiy Stetsurin, Director A,
– Mr. Eriks Martinovskis, Director B,
– Mr. Douwe Terpstra, Director B.
3. Appointment of Mr.Sergiy Stetsurin, born on August 11, 1957, in Voskresensk, Moscow region, residing at Mariya Ulianova str, 55, appt.38, Donetsk, Ukraine, 83017 as Director B until the end of the statutory general shareholders’ meeting of 2015.Legal grounds: Art.14 of the Luxembourg Law of 9 May 2006 on market abuse, and Art. 56 of the Act of 29 July 2005 on the public offering, conditions governing the introduction of financial instruments to organised trading system and on public companies.Signatures of individual authorised to represent the Company:
