W nawiązaniu do raportu bieżącego nr 11/2010 z 27 kwietnia 2010 r. Cinema City International N.V. z siedzibą w Amsterdamie, Holandia, ("Spółka") informuje, że 9 czerwca 2010 r. Spółka została poinformowana przez wszystkich członków Zarządu Spółki oraz przez członka Rady Nadzorczej Spółki o nabyciu przez osobę blisko z nimi związaną (w rozumieniu art. 160 ust.2 pkt 4.a) Ustawy z dnia 29 lipca 2005 r. o obrocie instrumentami finansowymi) – akcjonariusza większościowego Spółki - I.T. International Theatres Ltd. z siedzibą w Herzlia Pituah, Izrael, 341.000 akcji zwykłych Spółki.

Akcje Spółki zostały nabyte przez I.T. International Theatres Ltd. od tych uczestników Długoterminowego Programu Motywacyjnego Spółki z 2006 r. ("Program"), którzy sfinansowali wykonanie opcji w ramach Programu z ceny uzyskanej ze sprzedaży akcji na rzecz I.T. International Theatres Ltd.

Akcje zostały nabyte w transakcjach poza rynkiem regulowanym zgodnie z postanowieniami umów sprzedaży pomiędzy uczestnikami Programu a I.T. International Theatres Ltd. Cena nabycia każdej akcji (34 zł) to cena, którą I.T. International Theatres Ltd. uzyskało z tytułu sprzedaży akcji w transakcji na Giełdzie Papierów Wartościowych w Warszawie S.A. dokonanej w dniu 23 kwietnia 2010 r. Nabycie wyżej wskazanych akcji przez I.T. International Theatres Ltd. stanowi transakcję powiązaną bezpośrednio ze sprzedażą przez I.T. International Theatres Ltd. 341.000 akcji Spółki (zob. raport bieżący nr 11/2010 z 27 kwietnia 2010 r.)

Podstawa prawna: Art. 5:53 i nast. holenderskiej Ustawy o rynkach finansowych i nadzorze nad tymi rynkami z dnia 28 września 2006 r. (Ustawa o nadzorze finansowym – Wft.) w związku z Art. 160 ust. 4 Ustawy z dnia 29 lipca 2005 r. o obrocie instrumentami finansowymi w zw. z art. 56 ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej, warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych.

	Purchase of the Company shares by insiders(As defined by article 160 of the Act on Trading in Financial Instruments)With reference to the current report no. 11/2010 of 27 April 2010 Cinema City International N.V. with its corporate seat in Amsterdam, The Netherlands, (the "Company") informs that on 9 June 2010 the Company was informed by all its members of the Board of Managing Directors and one member of its Board of Supervisory Directors that their affiliated company (in the meaning of Article 160.2.4.(a) of the Polish Act on Trading in Financial Instruments dated 29 July 2005) - the Company’s majority shareholder – I.T. International Theatres Ltd. with its registered office in Herzlia Pituah, Israel, acquired 341,000 shares in the Company.The legal title to the Company shares was transferred to I.T. International Theatres Ltd. by those participants of the 2006 Long Term Incentive Plan that for the purpose of the exercise of the options under the 2006 Long Term Incentive Plan of the Company (the “Plan”) were pre-financed by I.T. International Theaters Ltd.The sale of share transactions were made outside the regulated market in accordance with the terms and conditions of share sale contracts executed between the respective optionees under the Plan and I.T. International Theatres Ltd. The share price for each share (PLN 34) equals to the share price at which the Company shares were sold by I.T. International Theatres Ltd on the Warsaw Stock Exchange on 23 April 2010. The acquisition of the shares by I.T. International Theatres Ltd. was a reverse transaction mirroring the sale by I.T. International Theatres Ltd. of 341,000 shares in the Company (please see the current report No.11/2010 of 27 April 2010).Legal grounds: Article 5:53 and subsequent of the Dutch Act of 28 September 2006 on rules regarding the financial markets and their supervision (Act on Financial Supervision – Wft.) in conjunction with Art. 160.4 of the Act on Trading in Financial Instruments of 29 July 2005 in conjunction with Art. 56.1 of the Act on Public Offerings, Conditions governing the Introduction of Shares to Organized Trading and on the Public Companies.
