| | Decisions of the Ordinary Annual General Meeting of Shareholders
AB Avia Solutions Group, legal entity code 302541648, with registered office address at Smolensko str. 10, Vilnius, the Republic of Lithuania (hereinafter referred to as the Company), the authorized capital of which is divided into 5 893 333 (five million eight hundred ninety three thousand three hundred thirty three) ordinary registered shares with the par value of LTL 1 (one Litas) per share entitling to 5 893 333 (five million eight hundred ninety three thousand three hundred thirty three) votes at the shareholders meeting on 29 April 2011 convened an Ordinary Annual General Meeting of Shareholders (hereinafter referred to as the Meeting).
Shareholders collectively holding 4 320 550 (four million three hundred twenty thousand five hundred fifty) of the Company‘s shares (4 320 550 of the votes respectively) which represent 73.3 percent of the total issued share capital of the Company, took part in the Meeting (including 1 (one) shareholder who expressed his will by submitting voting ballot paper filled out in writing with 55 250 election votes).
The sharoholders of the Company participating in the Meeting decided unanimously:
- To approve the consolidated annual report of the Company for the year 2010;
- To approve annual financial statements of the Company and consolidated group annual financial statements for the year 2010;
- To approve the profit (loss) allocation of the Company for the year 2010;
- To elect “PricewaterhouseCoopers“ UAB, legal entity‘s code 111473315, registered address at J. Jasinskio str. 16B, Vilnius, the Republic of Lithuania, as the Company's audit enterprise to perform the audit of the Group consolidated financial statements for the year 2011. To authorize the Company's general manager or any member of the Board to conclude the agreement for audit services, establishing the payment for services as agreed between the parties but in any case not more than 300 000 litas (VAT excluded) for the audit of the Company's consolidated financial statements for the 2011 financial year;
- To elect Mr. Dariusz Formela as the Company's Supervisory Board member.
