(the Company, the Issuer), pursuant to art. 56 sec. 1 of Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies, hereby informs, as follows:
a)the Company received an information that all participants of the management incentive scheme for senior executives of the Company and its subsidiaries adopted by the Board of Directors on 14 May 2013 (Current Report 26/2013) did reply on 16 December 2015 to the tender offer for the sale of the shares of the Company announced on 27 October 2015 by GRUPO INDUSTRIAL SALTILLO, S.A.B. de C.C. by submitting for sale all shares acquired by them in the framework of the said scheme.
b)the Company received an information that Casting Brake S.L. with its seat in Calle Elcano, nº 9 – 8ª planta; 48011 Bilbao (Spain), an entity controlled by certain executive members of the Board of ACE, on 16 December 2015 did reply to the Offer by submitting for sale of additional 4 716 Issuer’s shares held by it.
Zarząd Automotive Components Europe S.A. (Spółka, Emitent), na podstawie art. 56 ust.1 Ustawy o ofercie publicznej, warunkach wprowadzania instrumentów finansowych do zorganizowanego obrotu oraz spółkach publicznych, niniejszym informuje, że
a)Spółka otrzymała informację, że wszyscy uczestnicy programu motywacyjnego dla kadry kierowniczej Spółki i jej spółek zależnych, uchwalonego przez Radę Dyrektorów Spółki 14 maja 2013 (Raport bieżący 26/2013), w odpowiedzi na wezwanie do zapisywania się na sprzedaż akcji Spółki ogłoszone w 27 października 2015 przez GRUPO INDUSTRIAL SALTILLO, S.A.B. de C.C., w dniu 16 grudnia 2015 roku złożyli zapis na wszystkie akcje objęte przez nich w ramach tegoż programu motywacyjnego.
b)Spółka otrzymała zawiadomienie od Casting Brake S.L. zarejestrowanego pod adresem Calle Elcano, nº 9 – 8ª planta; 48011 Bilbao (Hiszpania), że podmiot ten, kontrolowany przez niektórych członków Rady ACE, w dniu 16 grudnia 2015 roku odpowiedział na Wezwanie składając dyspozycję sprzedaży dodatkowych 4 716 akcji Emitenta będących w jego posiadaniu.
