(the “Company") after its meeting held on 29 October 2015 herby informs that the Company acknowledge the announcement of the tender offer for sale of shares of the Company (the “Tender Offer") announced by Grupo Industrial Saltillo S.A.B. de C.V. (BMW:GISSA) (the “Offeror") on October 27, 2015 and is already taking all necessary actions in order to asses on due date, its opinion on the Tender Offer. For this purpose the Board had today first contact with the Offeror and is also initiating contacts to hire external fairness opinion on the share price proposed in the Tender Offer.
Rada Dyrektorów (“Rada") Automotive Components Europe S.A. (“Spółka") po swoim posiedzeniu w dniu 29 października 2015 roku niniejszym informuje, że Spółka potwierdza ogłoszenie wezwania do sprzedaży akcji Spółki ("Wezwanie") ogłoszonym przez Grupo Industrial Saltillo S.A.B. de C.V. (BMW:GISSA) ("Wzywający") w dniu 27 października 2015 roku i podejmuje wszelkie konieczne działania w celu przygotowania swojej opinii nt. Wezwania w wymaganym terminie. W tym celu Rada miała w dniu dzisiejszym swój pierwszy kontakt z Wzywającym oraz zainicjowała działania w celu uzyskania niezależnej opinii dotyczącej ceny akcji zaproponowanej w Wezwaniu.
